Our client:

• One of the leading telecommunications carrier with global presence with its headquarter based in Hong Kong.

• In view of the expansion on the M&A team, they are sourcing for Legal Counsel for their M&A team. This position will be based in their HK HQ.

Job Duties / Responsibilities:

• Assume the role of a lead M&A deal lawyer, managing and executing legal elements of a transaction, including structuring, legal due diligence, transaction documentation, signing and closing.

• Support the investment team in reviewing, negotiating and drafting various transaction related documents, including confidentiality agreements, engagement letters, term sheets, indications of interest, letter of intent, and definitive transactions documents.

• Engage and manage external legal advisor or counterparties.

• Work with internal and external parties to implement post-acquisition integration plans and meet on-going compliance and regulatory reporting requirement of acquired business.

• Perform legal research on selected topics and provide legal advises to internal business partners regarding potential M&A activities and other corporate development activities.

Required:

• At least LLB, an MBA would have an added advantage

• Hong Kong or PRC qualified lawyers with at least 5 years PQE from reputable law firm/MNCs

• Solid experience and proven track record in cross-border M&A

Skills Required/Desired:

• Effectively bilingual to handle both Chinese and English speaking clients

• Experiences in or with Chinese institutions preferred

• Exposure to TMT sector would be required

• Travelling will be required
